By accessing this website, or becoming a member, you consent to have this Agreement provided to you by electronic form.

This Agreement is an electronic contract that sets out the legally binding terms of the use of the website, “The SpaceMate International LLC,” hereinafter “The SpaceMate,” and your membership therein. This agreement may be modified by SpaceMate at any time. Modifications are effective upon posting on this website. This Agreement includes, and incorporates, our Acceptable Use Policy for Content Posted on this website and subscription policy, as well as any further notice posted on this website.

BY ACCESSING THIS WEBSITE OR BECOMING A MEMBER OR FULL ACCESS MEMBER, YOU ACCEPT THE AGREEMENT AND AGREE TO THE TERMS, CONDITIONS, AND NOTICES CONTAINED OR REFERENCED HEREIN.

Eligibility

You must be at least eighteen (18) years of age to register as a member of The SpaceMate. Membership is void where prohibited. By using this website, you represent and warrant that you have the right, authority, and capacity to enter into this Agreement, and to abide by all of the terms and conditions of the Agreement.

Membership

There is no cost to become a Member of The SpaceMate. As a Member you will have access to all features of The SpaceMate, including the ability to view members by astrological/personality compatibility, view profiles and photos, use the SpaceMessenger Instant Message system, and send and receive mail through your private SpaceMail mailbox.

Full Access Members

Full Access Membership consists of a one-time charge for a period of time selected by the member. By accepting this agreement, you acknowledge that your Full Access Membership requires a fee for which you accept responsibility. Your Full Access Membership does not become active until your credit/debit card provider has accepted the charge. You may cancel your membership at any time, but The SpaceMate will not refund or prorate any fees.

Please see How Does The SpaceMate Work for a full description of the membership levels. See Billing and Notification for a description of our pay-as-you-go billing policy. The SpaceMate reserves the right to remove profiles of non-subscribers at any time.

Term

This Agreement remains in full force and effect while you use the website and/or are a Member/Full Access Member. You may terminate your Membership/Full Access membership and/or subscription at any time and for any reason by clicking on the Cancel My Membership link located in My Account (located at the top of each page). Please see the My Account tab located at the top of each page. The subscription will terminate at the end of the subscription term. The SpaceMate may terminate your membership or subscription by sending notice to you at the email address you provided in the membership application, or any other email address that is subsequently provided to The SpaceMate. In the event that The SpaceMate terminates your membership because you, as the user, member, or subscriber have breached this agreement, you will not be entitled to any refund of unused subscription fees. All decision regarding the termination shall be at the sole discretion of The SpaceMate. The SpaceMate is under no obligation to you as a user, member, or subscriber to provide you with the reasons for the termination. In some cases The SpaceMate may be prohibited from disclosing the reasons for termination. Even if your membership or subscription is terminated, this Agreement will remain in effect.

Account Security

You, as the user, member, or subscriber, are solely responsible for maintaining the confidentiality of the user name and password that you designate during the registration process. Furthermore, you are responsible for all activities that occur under your user name or password. You agree to immediately notify The SpaceMate of any unauthorized use of either your password or user name, or any other breach of security. You ensure that you will exit from your account upon completion of each session. The SpaceMate is not responsible for any loss or damage arising from your failure to comply with the provisions contained therein. You should be particularly cautious if the computer is public access or shared with another.

Interaction with Other Members

You are solely responsible for your interactions with other member, users, or subscribers. The SpaceMate does not screen members, nor does The SpaceMate inquire into backgrounds of members or attempt to verify the statements of its members. The SpaceMate makes no warranties or representations as to the conduct of its members or of their suitability or compatibility.

Under no circumstances shall The SpaceMate be liable for any damages whatsoever, either direct, indirect, general, special compensatory, consequential and/or incidental arising out of or relating to the conduct of you or anyone else in connection with the use of this service, including, but not limited to, bodily injury, emotional distress, and/or any other damages resulting from communications or meetings with other registered users of this service, or persons you meet through the use of this service. You should not provide financial information to other members.

You are solely responsible for taking reasonable precautions in all interactions with members. The SpaceMate makes no guarantees, either express or implied, regarding your ultimate compatibility with individuals you meet through the service.

Proprietary Rights

You shall not copy, modify, publish, transmit, distribute, perform, display, or sell any proprietary information. The SpaceMate makes no guarantees, either express or implied, regarding your ultimate compatibility with individuals you meet through the service.

Your Personal Postings

You are solely responsible for the content that you publish or display on the service or transmit to other members. You will not publish or display on The SpaceMate defamatory, inaccurate, abusive, obscene, profane, offensive, sexually oriented, threatening, harassing, racially offensive, or illegal material, or any material that infringes upon another’s intellectual property rights, right or privacy, and right of publicity. You will not provide inaccurate, misleading, or false information to The SpaceMate or to other members. If any of the previously posted information becomes inaccurate, misleading, false, or obsolete, you shall notify The SpaceMate promptly and make online updates to your profile. The SpaceMate may review all postings.

  1. You will not interfere with or disrupt any Service on this site, servers, or networks.
  2. You will not post, email or otherwise transmit any material that contains software viruses, other computer codes, files, or programs designed to interrupt, destroy, or limit the functioning of computer software or hardware or telecommunications equipment.
  3. You will not forge headers or otherwise manipulate identifies in order to disguise the source information transmitted through the Service.
  4. You will not “frame” or “mirror” any part of the Service without the specific prior written permission of The SpaceMate.
  5. You will not use meta tags or code or other devices containing any reference to us or the site connected to the Service in order to direct any person to any other website.
  6. You will not modify, adapt, sublicense, translate, sell, reverse engineer, decipher, or otherwise disassemble any portion of the Service or any software used on or for the Service or enable others to do so.
  7. You will not stalk or otherwise harass any person.
  8. Any statement posted by you shall not express any type of endorsement by The SpaceMate, unless or until it receives prior written approval from The SpaceMate.
  9. You will not use any electronic techniques or devices to retrieve or mine data, nor shall you reproduce or circumvent navigational presentations of this website.
  10. You will not post any copyrighted or proprietary property from this website.
  11. You will likewise not remove any copyrighted or proprietary property from this website.
  12. You will not engage in advertising or the solicitation of other members to buy and sell products, professional services, or group social activities.

Indemnity by Member

You will indemnify and hold harmless any officer, direct or indirect, employees, agents, and third parties for any liabilities, legal fees, losses, and costs relating to all aspects regarding the use of this website. Members are solely responsible for interactions between members with regard to dispute resolution, and shall hold The SpaceMate harmless and indemnify them against same. However, under all circumstances, The SpaceMate may monitor disputes between members.

Modification to Service

The SpaceMate reserves the right to modify and discontinue the service, on either a temporary or permanent basis, with or without notification to Members and Full Access Members and/or subscribers. The SpaceMate shall not be responsible or liable for any modification or discontinuation of service.

Disclaimers

The SpaceMate is not responsible for incorrect or inaccurate information posted on the website connected with the service. Furthermore, The SpaceMate is not responsible for computer malfunctions, online systems, telephone connections, or software including, but not limited to, damage to users’ and/or members’ computers or any other person’s computer resulting from participation in the service. The SpaceMate and its service are provided to users, subscribers, and members “AS IS.” The SpaceMate does not guarantee any specific results from its service. The SpaceMate is not responsible for, nor warrants or guarantees any advice, including, but not limited to, finance, medical, legal, or other professional advice. The SpaceMate expressly disclaims any and all liability concerning any action or effect to any person following information provided to users, members or subscribers to this service.

Jurisdiction

If there arises a dispute regarding the usage of this service, the member, subscriber or user expressly agrees that any such dispute shall be governed by the laws of the State of Florida. The State of Florida shall have exclusive jurisdiction and venue in any such disputes.

No Third Parties

Except by express agreement of The SpaceMate, as provided by this agreement, there shall be no third party beneficiaries to the Agreement.

Charges for The SpaceMate

General. We bill Full Access Members through an online account (“My Account”) for the right to access all the features of The SpaceMate. You agree to pay us all charges at the prices then in effect for use of The SpaceMate, by you or any other persons using your My Account, whether or not you actually use it. You authorize The SpaceMate to charge your credit/debit card for this right. You agree to make payment using the payment method you select. The SpaceMate reserves the right to correct our errors or mistakes even if we have already requested or received payment.

Billing and Notification

The SpaceMate is a pay-as-you-go service. Unlike many other online dating services, we do not automatically charge your credit/debit card when it is time to renew your Full Access membership. We will send you reminder emails noting the length of time remaining in your Full Access Membership, but we will not charge your credit/debit card until you click on the Renew My Membership button in My Account and provide your updated credit/debit card information, which then authorizes us to charge your chosen payment provider for access to The SpaceMate.

Payment Method

You may pay with a credit or debit card, but your Full Access membership in The SpaceMate does not activate until the charges have been accepted by your payment method provider. If your payment method provider does not forward your payment to The SpaceMate, you agree to pay all amounts due upon demand and to have your account suspended until you have paid what is due.
